Terms of Service

Welcome to Future Physician Academy

These Terms of Service (“Terms”) are a legal agreement between you and Future Physicians, LLC, a Delaware limited liability company (“FPA,” “we,” “us,” or “our”), doing business as Future Physician Academy. They govern your access to and use of futurephysicianacademy.com and all related content, tools, and services (collectively, the “Service”).

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1. Acceptance of Terms

Plain English Using FPA means you agree to these Terms and our Privacy Policy. If you’re using FPA on behalf of an institution, you’re confirming you have authority to bind that institution.

You must read and agree to these Terms before using the Service. If you access or use the Service on behalf of a residency program, hospital, medical school, or other institution, you represent that you have the authority to bind that institution to these Terms, and “you” will refer to both you individually and that institution.

We may update these Terms from time to time as described in Section 16. Continued use of the Service after changes take effect means you accept the updated Terms.


2. Description of Service

Plain English FPA is an educational platform and study tool: not a medical provider. We give you clinical training cases and an AI tutor to help you learn. We do not treat patients, prescribe medication, or replace your medical training.

Future Physician Academy is a subscription-based online medical education platform. The Service includes:

  • A library of clinical training cases spanning all 24 American Board of Medical Specialties (“ABMS”) boards, 38 primary specialties, and 89 subspecialties, calibrated across five learner levels (pre-medical through senior attending);
  • A “Custom GPT” AI study tutor that answers clinical-education questions using a bibliography-locked case corpus; and
  • Related study tools, progress tracking, and account features.

FPA is an educational content and software company. We do not practice medicine, deliver clinical care, issue prescriptions, or diagnose or treat any medical condition. The Service is intended solely to support learning and exam preparation. See Section 9 (Medical Disclaimer) for more detail.

FPA is not affiliated with, endorsed by, sponsored by, or approved by the American Board of Medical Specialties (ABMS) or any member board. References to ABMS boards, specialties, and subspecialties describe the organizational structure of our content and do not imply any relationship with ABMS.


3. Eligibility

Plain English You must be 18 or older to subscribe. If you’re 13–17 and interested in pre-med content, a parent or guardian must sign up and consent on your behalf.

You must be at least 18 years old to create an account and purchase a subscription. Users who are 13 to 17 years old may access pre-med educational content only with the involvement and consent of a parent or legal guardian, who must create the account, agree to these Terms, and be responsible for all activity and charges on that account. The Service is not directed to, and may not be used by, children under 13.

By using the Service, you represent that you meet these age requirements and that all registration information you provide is accurate.


4. Account Registration and Security

Plain English Keep your login credentials private, keep your account info current, and tell us right away if you think someone else has access to your account.

To use most features, you must create an account with accurate, current information. You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activity that occurs under your account; and
  • Notifying us promptly at hello@futurephysicianacademy.com if you suspect unauthorized access.

Accounts are personal to you. As described in Section 7, sharing your account credentials with others is not permitted, including within the same institution or study group.

We may suspend or terminate accounts that contain false information, violate these Terms, or are used in a way that risks harm to FPA, other users, or the integrity of the Service.


5. Subscription Terms, Billing, Auto-Renewal, and Cancellation

Plain English Subscriptions are annual and renew automatically until you cancel. Payments are processed securely through Stripe. If you cancel, you keep access through the end of your current paid term but won’t be charged again. New subscribers get a 14-day money-back guarantee.

5.1 Subscription Plans

FPA offers the following annual subscription tiers (prices subject to change for new subscribers as described below):

“Founding” pricing is a limited-time introductory rate for early subscribers and may be discontinued or changed at our discretion for future signups; it does not affect your rate during your current active term.

5.2 Payment Processing

All payments are processed by Stripe, Inc. We do not store your full payment card details. By subscribing, you authorize FPA (via Stripe) to charge your chosen payment method for the applicable subscription fee.

5.3 Auto-Renewal

Subscriptions automatically renew annually at the then-current price unless you cancel before the renewal date. By subscribing, you authorize FPA to charge your payment method on a recurring annual basis until you cancel. We will make commercially reasonable efforts to notify you by email before each renewal, but it is your responsibility to track your renewal date and manage your subscription.

5.4 Cancellation

You may cancel your subscription at any time through your account settings or by emailing hello@futurephysicianacademy.com. Cancellation stops future renewals but does not entitle you to a refund for the current paid term, except as provided in Section 5.5. You will retain access to the Service through the end of your current paid term.

5.5 Money-Back Guarantee

If you are a first-time subscriber, you may request a full refund within 14 days of your initial purchase date, for any reason, by emailing hello@futurephysicianacademy.com. This money-back guarantee applies only to a subscriber’s first purchase and does not apply to renewals, upgrades, or institutional invoices.

5.6 Institutional Billing

Institutional subscriptions (e.g., residency programs) are quoted and invoiced separately under individually negotiated terms, which may supplement or, where explicitly agreed in writing, supersede applicable portions of this Section 5.

5.7 Price Changes

We may change subscription prices for future terms. If we do, we will notify affected subscribers by email at least 30 days before the change takes effect on their next renewal.


6. User Content and Feedback

Plain English When you submit answers, notes, or feedback, you keep ownership, but you give us permission to use anonymized versions of that data to improve FPA’s content and tools.

“User Content” means any answers, notes, flags, ratings, or other material you submit while using the Service, including responses to clinical training cases and interactions with the AI tutor.

You retain ownership of your User Content. By submitting it, you grant FPA a worldwide, royalty-free, sublicensable, perpetual license to use, reproduce, adapt, and analyze your User Content: in anonymized or aggregated form: for purposes including improving our case corpus, calibrating difficulty levels, training and refining the AI tutor, and developing new features. We will not publicly attribute anonymized User Content to you by name.

If you submit feedback, suggestions, or ideas about the Service (“Feedback”), you agree that FPA may use that Feedback for any purpose without compensation or attribution to you.


7. Acceptable Use

Plain English Use FPA for your own learning, not to copy or resell our content, train competing AI tools, or make real patient-care decisions. Don’t share your login with others.

You agree not to:

  • Scrape, crawl, harvest, or systematically extract content from the Service using bots, scripts, or automated tools;
  • Resell, redistribute, sublicense, or share the case corpus, answer keys, or any other proprietary content, in whole or in part;
  • Use FPA content to train, fine-tune, or improve any third-party or external AI model or system, including large language models;
  • Share your account credentials or provide access to your account to any other person, or use an account registered to someone else;
  • Use the AI tutor, or any FPA content, to make actual patient-care, diagnostic, or treatment decisions: the Service is for education only, as described in Sections 9 and 10;
  • Reverse-engineer, decompile, or attempt to derive the underlying prompts, models, or “master graph” architecture powering the Service;
  • Upload malicious code, attempt to gain unauthorized access to FPA systems, or interfere with the Service’s operation; or
  • Use the Service for any unlawful purpose or in violation of any applicable professional, licensing, or academic-integrity rules (including your institution’s honor code).

We may investigate suspected violations and suspend or terminate access for any breach of this section, without refund, except as required by Section 5.5.


8. Intellectual Property

Plain English FPA owns all the content, technology, and design of the platform. You get a limited license to use it for personal study: not to copy, resell, or repurpose it.

All content, features, and functionality of the Service: including the clinical case library, the underlying “master graph” content architecture, prompt engineering, answer keys, explanations, software, AI tutor design, trademarks (including “Future Physician Academy” and associated logos), and the overall look and feel of the Service: are the exclusive property of Future Physicians, LLC or its licensors, and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms and active payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes. No other rights are granted. All rights not expressly granted are reserved by FPA.


9. Medical Disclaimer

THIS IS IMPORTANT: PLEASE READ CAREFULLY.

Future Physician Academy provides educational content and software only. FPA does not practice medicine, does not provide medical advice, does not diagnose or treat any medical condition, and does not issue prescriptions.

All content on the Service: including clinical training cases, explanations, and responses from the AI tutor: is for educational purposes only. It is NOT medical advice and is NOT a substitute for professional medical judgment, patient evaluation, or clinical care.

FPA is not a substitute for accredited board review courses, medical school curricula, residency training, or accredited Continuing Medical Education (CME). Completing FPA content does not certify competency, does not guarantee exam or board results, and does not satisfy any licensing, certification, or accreditation requirement.

Never use FPA content, or the AI tutor’s responses, as the basis for an actual patient-care decision. Always exercise independent clinical judgment, consult qualified colleagues or supervising physicians, and rely on authoritative, primary clinical sources and your institution’s protocols before making any diagnostic or treatment decision.

If you are experiencing a medical emergency, call 911 or your local emergency number immediately. Do not use FPA for emergency guidance of any kind.

This disclaimer applies to all users, regardless of learner level, and survives termination of your account.


10. AI Content Disclosure

Plain English Our case content is created with AI tools under supervision from medical faculty, not written entirely by hand. It’s carefully sourced, but you should still double-check anything important against original medical literature before relying on it clinically.

Much of the clinical training case content on the Service is AI-authored using large language models, developed and reviewed under faculty governance and cross-referenced against a curated, bibliography-locked source corpus. This process is designed to improve consistency, coverage, and calibration across learner levels.

However, AI-generated content can contain errors, omissions, or outdated information, even when sourced against a curated bibliography. You are responsible for independently verifying any clinical information: including case content and AI tutor responses: against current primary medical literature, your institution’s guidelines, and supervising physicians before applying it to any real-world clinical decision.

FPA’s faculty and content team review and curate the source corpus and calibration process, but do not individually verify every AI-generated output in real time. We do not warrant that AI-authored content is free of error or current with the latest clinical guidelines.


11. Third-Party Services

Plain English We use trusted outside companies to process payments, send emails, and power parts of our AI tutor. Their own terms and privacy policies also apply when you interact with those services through FPA.

The Service relies on third-party providers, including:

  • Stripe, Inc.: payment processing;
  • Loops and/or ConvertKit: transactional and marketing email delivery; and
  • OpenAI and/or Anthropic APIs: language-model infrastructure that may power the AI study tutor.

These third parties operate under their own terms of service and privacy policies, which govern their handling of your information in connection with those services. FPA is not responsible for the acts, omissions, availability, or performance of third-party providers, though we select vendors we believe are reputable and secure.


12. Limitation of Liability

Plain English If something goes wrong, our maximum financial responsibility to you is capped at what you paid us in the past 12 months. We’re not liable for indirect damages like lost profits or data loss.

To the maximum extent permitted by law:

(a) The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of content.

(b) FPA, its owners, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, or costs of substitute services, arising from or related to your use of the Service, even if we have been advised of the possibility of such damages.

(c) FPA’s total aggregate liability for any claim arising from or related to the Service will not exceed the total subscription fees you paid to FPA in the 12 months preceding the event giving rise to the claim.

(d) Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or fraud, where such limitation is prohibited.

Some jurisdictions do not allow certain limitations on implied warranties or liability, so some of the above limitations may not apply to you in full.


13. Indemnification

Plain English If your misuse of FPA causes harm or legal claims against us, you agree to cover our reasonable costs of defending against those claims.

You agree to defend, indemnify, and hold harmless Future Physicians, LLC, its owners, officers, employees, and contractors from and against any claims, damages, losses, liabilities, and reasonable expenses (including attorneys’ fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Service, including any use of FPA content or the AI tutor to inform actual patient-care decisions; (c) your violation of any law or third-party right; or (d) User Content you submit.


14. Termination

Plain English You can stop using FPA anytime by canceling your subscription. We can suspend or terminate accounts that violate these Terms, though we’ll try to give notice when practical.

You may stop using the Service and cancel your subscription at any time as described in Section 5.4.

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or created risk or legal exposure for FPA. Where practical, we will attempt to provide notice and an opportunity to cure minor violations before termination.

Upon termination, your right to access the Service ends immediately, though provisions of these Terms that by their nature should survive (including Sections 8, 9, 10, 12, 13, and 15) will continue to apply.


15. Dispute Resolution and Governing Law

Plain English These Terms are governed by Delaware law. Most disputes must be resolved through individual arbitration (not court, and not class actions), generally held in Atlanta, Georgia, or another location we mutually agree on.

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except that this Section 15 concerning arbitration is governed by the Federal Arbitration Act.

15.2 Binding Arbitration

Except for disputes that qualify for small claims court, any dispute arising out of or relating to these Terms or the Service will be resolved through final and binding individual arbitration, rather than in court, except that either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

Arbitration will be administered by a mutually agreed arbitration provider and will take place in Atlanta, Georgia, or another venue mutually agreed upon by the parties, or may be conducted remotely/virtually by agreement.

15.3 No Class Actions

You and FPA agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action. Neither party may bring a claim as a plaintiff or class member in any purported class, collective, or representative proceeding.

15.4 Opt-Out

16. Changes to Terms

Plain English We may update these Terms occasionally. If we make significant changes, we’ll email you before they take effect.

If we make material changes, we will notify you by email to the address on your account at least 14 days before the changes take effect. Non-material changes (such as clarifications or formatting) may be made without advance notice.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription as described in Section 5.4.
